Terms of Service

These Terms govern your use of Foremano, an application and website (the “Service”) operated by P&L Outdoor Solutions LLC (“we,” “us”). By using the Service you agree to these Terms.

The Service

Foremano provides software to help service businesses manage clients, jobs, scheduling, estimates, invoices, payments, and client communications. Features may change over time.

Use of AI

• Foremano uses AI to assist you — for example drafting estimates and messages, reading uploaded documents, planning routes, and answering questions about your business.
• You stay in control. AI output is a starting point for you to review and edit. For anything consequential — sending a message to a client, or moving money — a human stays in the loop; the software drafts and reads, it does not send funds on its own.
• If you enable the automated messaging assistant, it identifies itself as automated to your clients and hands sensitive or uncertain conversations to a person rather than answering on its own.
• AI can make mistakes. You are responsible for reviewing AI-generated content before you rely on it or send it, and for your use of the Service generally.

Your account

• You must provide accurate information and keep your login secure.
• You are responsible for activity under your account and for your team's use.
• You must be able to form a binding contract and use the Service lawfully.

Acceptable use

• Do not use the Service to send unlawful, harassing, or unsolicited messages.
• You are responsible for obtaining consent before texting or emailing your clients, and for complying with applicable laws (including TCPA, CAN-SPAM, and carrier rules).
• Do not attempt to access other businesses' data, disrupt the Service, or reverse-engineer it.

Intellectual property & ownership

The Service — including the Foremano software, source code, algorithms, database structure, design, user interface, layout, graphics, text, and all other content we provide — is owned by P&L Outdoor Solutions LLC or its licensors and is protected by copyright, trademark, trade secret, and other intellectual-property laws. “Foremano,” the Foremano logo, and related names and marks are our trademarks.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business operations while your account is in good standing. This is a license to use the Service only. No ownership, title, or intellectual-property right in the Service is transferred to you, and all rights not expressly granted here are reserved by us.

Prohibited uses

Except as expressly permitted by these Terms or by applicable law that cannot be waived, you may not, and may not permit anyone else to:

• copy, reproduce, republish, distribute, publicly display, or create derivative works of the Service, its software, or its user interface, in whole or in part;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive or extract the source code, algorithms, or underlying structure of the Service, except to the limited extent this restriction is prohibited by law;
• scrape, crawl, spider, index, harvest, or use any bot, script, or other automated means to access, monitor, copy, or extract the Service or any data, content, or output within it;
• access or use the Service to design, build, train, market, or operate a competing or substantially similar product or service, or to benchmark, clone, or replicate its features, interface, or functionality;
• circumvent, disable, or interfere with any security feature, rate limit, usage restriction, authentication, or access control of the Service;
• resell, sublicense, rent, lease, timeshare, or otherwise make the Service available to any third party outside your own organization, or use it on behalf of a third party as a service bureau; or
• remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Service.

Each of the above is a material breach of these Terms and may result in immediate suspension or termination of your account and in civil or criminal legal action.

Automated access

You may not access, query, or copy the Service or its data using scrapers, crawlers, bots, headless browsers, or any other automated means without our prior written permission. Our public API, where offered, may be used only in accordance with its documented terms and rate limits. Unauthorized automated access is a breach of these Terms and may be pursued under applicable computer-fraud, anti-circumvention, and copyright laws.

Trademarks

“Foremano,” the Foremano logo, and our other names, marks, and slogans are trademarks of P&L Outdoor Solutions LLC. You may not use them — including in a product name, domain, logo, metadata, or advertising — without our prior written permission, and nothing in these Terms grants you any right to do so.

Payments & subscriptions

• Paid software plans begin with a 14-day free trial; we collect a payment method to start it but do not charge you until the trial ends. Cancel before the trial ends and you are not charged.
• After the trial, plans renew automatically and are billed in advance for each billing period (monthly or annually) through Stripe. You authorize us to charge your payment method for each renewal until you cancel.
• Fees are non-refundable (including partial periods and unused time) except where required by law. You can cancel anytime, yourself, from your settings; cancellation stops future renewals and your plan runs to the end of the period already paid for, without proration.
• Full billing, cancellation, and refund details — including for done-for-you services and chargebacks — are in our Refund & Cancellation Policy.
• Usage-based costs (e.g., messaging) may apply where you enable those features.

Your data

You own the data you put into the Service. You grant us a limited license to process it solely to provide the Service. See our Privacy Policy. You can export or delete your data as described there. Where we process personal data about your own clients on your behalf, our Data Processing Addendum applies.

Account access & administration

You authorize our authorized personnel to access your account and data where reasonably necessary to provide support you request, to operate, secure, and maintain the Service, or to comply with law. We may also suspend, limit, or modify access to features of your account for non-payment, suspected abuse or security risk, or to comply with law. Such access and administrative actions are limited to what is necessary and are logged. See our Privacy Policy for how we handle account data.

Third-party services

The Service integrates providers such as Stripe, Twilio, SendGrid, Clerk, Neon, Netlify, and Cloudflare. Your use of those features is also subject to their terms. A current list of the subprocessors that handle data on our behalf is in our Data Processing Addendum.

Disclaimers

The Service is provided “as is” without warranties of any kind. We do not guarantee it will be uninterrupted or error-free. Foremano is not a substitute for professional legal, tax, or financial advice.

Limitation of liability

To the maximum extent permitted by law, P&L Outdoor Solutions LLC will not be liable for indirect, incidental, or consequential damages, and our total liability will not exceed the amount you paid us in the 12 months before the claim.

Indemnification

You will defend, indemnify, and hold harmless P&L Outdoor Solutions LLC and its personnel from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) the data you put into the Service and your use of it; (b) your violation of these Terms or of any law (including consent, messaging, privacy, and data-protection laws); or (c) any claim by your own clients or other third parties relating to your business, your communications, or your handling of their information. This does not apply to the extent a claim results from our own gross negligence or willful misconduct.

Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service.

Enforcement & remedies

A breach of the Prohibited uses, Automated access, or Intellectual property sections may result in the immediate suspension or termination of your account without notice. Because such breaches can cause harm that money alone cannot fully remedy, you agree that we are entitled to seek injunctive or other equitable relief — without the need to post a bond — in addition to any other remedy available at law. We may also pursue monetary damages and recovery of our costs and reasonable attorneys' fees. You are responsible for any misuse of the Service by you, your team, or anyone using your account, and for any resulting loss or liability. Our failure to enforce any provision is not a waiver of our right to do so later.

Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.
